1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at philipperemycorp.com and any products, applications, or services operated by Philippe-Remy Enterprise Corp. (“we,” “our,” or “us”), a company incorporated in Ontario, Canada.

By accessing our website or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms apply to philipperemycorp.com and, where indicated, extend to products and services operated under our portfolio, including RamifyTech (ramifytech.com), SwiftVite (swiftvite.app), Kominote Lakay (kominotelakay.com), and Sweet Lakay (sweetlakay.ca). Each portfolio company may maintain its own supplementary terms specific to their product or service.


2. Eligibility

You must be at least 13 years of age to use our website or any of our services. By using our services, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian to use our services.

Our services are intended for personal and lawful use only. By agreeing to these Terms, you confirm that you have the legal capacity to enter into a binding agreement.


3. Use of Our Website and Services

You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms. You must not:

Some of our applications, including SwiftVite and Kominote Lakay, require you to create an account to access certain features. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and accept responsibility for all activity that occurs under your account
  • Notify us immediately at info@philipperemycorp.com if you become aware of any unauthorized use of your account
  • Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where possible.


5. User-Generated Content

Our applications allow users to submit, post, or display content including but not limited to event listings, business listings, reviews, comments, and profile information (“User Content”). By submitting User Content, you:

  • Retain ownership of any intellectual property rights you hold in that content
  • Grant Philippe-Remy Enterprise Corp. and the applicable portfolio company a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the service
  • Confirm that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights
  • Confirm that your User Content is not unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable

We do not endorse any User Content submitted by users and are not responsible for any User Content. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be harmful, offensive, or otherwise inappropriate.


6. Intellectual Property

All content on philipperemycorp.com and within our portfolio company websites and applications — including but not limited to text, graphics, logos, images, and software — is the property of Philippe-Remy Enterprise Corp. or its respective portfolio companies and is protected by applicable Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our website or applications without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited right to use our services as described herein.


7. Third-Party Links and Services

Our website and applications may contain links to third-party websites or services that are not owned or controlled by Philippe-Remy Enterprise Corp. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party services you visit.


8. Disclaimer of Warranties

Our website and services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content available through our services.


9. Limitation of Liability

To the fullest extent permitted by applicable law, Philippe-Remy Enterprise Corp. and its portfolio companies, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, our website or services — even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the amount you have paid to us, if any, in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Philippe-Remy Enterprise Corp. and its portfolio companies, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of our services, your User Content, or your violation of these Terms.


11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

If you are accessing our services from outside Canada, you are responsible for compliance with local laws to the extent they are applicable.


12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this page. For material changes, we will make reasonable efforts to notify users through our website or through the applicable application. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.

We reserve the right to suspend or terminate your access to our website or services at any time, with or without cause, and with or without notice. You may also stop using our services at any time. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply, including intellectual property, disclaimers, limitation of liability, and governing law.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.
